This agreement constitutes the entire agreement of the parties with respect to the subject matter hereof and supersedes any and all other agreements,either oral or written,between the parties and contains all of the covenants and agreements between the parties pertaining to the subject matter.each party acknowledges that no representations,inducements,promises or invalidated in any way,and each party agrees to interpret and apply the agreement to implement its intent to the extent permitted by law.
Manner of monetary compensation:the closing statements as to such financing transaction or transactions between client and the investor or investors shall include the content concerning the compensation due to broker as specified in subsections 3.2.1 and 3.2.2 and broker shall be entitled to attend such closing meeting or meetings.by executing this agreement,client fully agrees and authorizes the investor or investors to pay broker,if broker choose to be paid in this manner,the amount as set forth on section 3.2.1 above before the investor or investors transfer the contracted investment fund or funds to client.if broker does not so choose,however,client shall make the payment as set forth in section 3.2.1
